Terms of Service

1. Who we are

Summit ("Summit," "we," "us") is operated by RED TENT, S.A., a company organized under the laws of the Republic of Panama (Folio 155661339, Registro Público de Panamá), with registered offices at Avenida 7ª, Urbanización Linares, Bella Vista, Ciudad de Panamá. You can contact us at hello@learnsummit.app.

These Terms govern your use of Summit at learnsummit.app. By creating an account or using Summit, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Summit.

2. Eligibility and age

You must be at least 13 years old to use Summit. We do not permit anyone under 13. If you are under 18, you must have a parent or guardian's permission to use Summit. When you register, you confirm that you meet these requirements; by confirming, you represent that this is true. If we learn that we have collected personal information from someone under 13, we will delete it.

3. Your account

You are responsible for your login credentials and for activity under your account. You may sign in with an email and password or through a third-party provider (Google, Apple, or GitHub), whose terms also apply to that sign-in. Keep your information accurate, and tell us at hello@learnsummit.app about any unauthorized use.

4. What Summit does

Summit helps students organize coursework and study — planning, syllabus extraction, flashcards, grade tracking, notes, degree planning, optional syncing with your school's learning management system (LMS) and Google Calendar, lecture transcription, and AI-generated study materials. Some features use third-party AI providers to process the content you give them, as described in our Privacy Policy.

5. Plans, prices, and billing

5.1 Free tier. Summit offers a free tier, within usage limits, at no cost.

5.2 Paid plans are one-time charges. Paid plans are billed as one-time charges for a defined term. Nothing auto-renews. You will not be charged again unless you make a new purchase.

Founding offer (first 500 students): $9.99 once, granting Pro access through July 31, 2027.
Pro: $24.99 per semester, billed once for that term.
Max: $49.99 per semester, billed once for that term.

5.3 What "semester" means. A semester runs until the next begins: a fall purchase gives access through December 31, and a spring purchase gives access through July 31 (summer included). Your purchase screen shows your access end-date before you pay.

5.4 Future plans and prices. Monthly plans and recurring billing are not offered at launch and may be introduced later. The price you pay is the price shown when you complete a purchase. Prices for future terms or plans may change; we will always show you the current price before you buy, and we will never charge you more than the price you agreed to for the term you purchased. Displaying a price is not a commitment to offer it in the future.

5.5 Payment and merchant of record. Purchases are billed by RED TENT, S.A. Payments are processed by Chargebee and PayPal; we never receive or store your full card number. Your use of those services is subject to their terms.

5.6 Refunds. If you are not satisfied, contact hello@learnsummit.app within 14 days of your purchase and we will refund it. After 14 days, purchases are non-refundable except where required by law.

5.7 Disputes and chargebacks. If you do not recognize a charge, contact us first at hello@learnsummit.app — most issues are resolved quickly. Chargebacks are handled through your card issuer's or PayPal's process.

5.8 Taxes. Prices exclude applicable taxes unless stated.

6. Your content

You keep ownership of what you create or upload — notes, syllabi, files, recordings, assignments, grades, and plans ("Your Content"). You grant Summit a limited, non-exclusive license to store, process, analyze, transmit, and display Your Content solely to operate Summit for you — including generating study materials for you and sending content to the AI providers listed in our Privacy Policy to deliver the features you invoke. We do not sell Your Content, use it for advertising, or use it to train AI models. This license ends when you delete the content or your account (see Section 13). You are responsible for having the right to upload what you upload.

7. Feedback

If you send us feedback or suggestions, you grant RED TENT, S.A. a perpetual, royalty-free license to use them to improve Summit, without obligation to you.

8. Acceptable use

Do not break the law using Summit, upload malware, probe or overload our systems, scrape or bulk-extract data, resell or share paid access, reverse-engineer Summit except as the law allows, impersonate others, or upload content you have no right to upload. We may suspend or terminate accounts that violate these Terms.

9. Third-party connections

Summit connects to services you choose — your LMS (Canvas, Blackboard, Brightspace, Moodle, Sakai), Google Calendar, and third-party sign-in. Their terms govern those services; connecting them authorizes Summit to exchange the data the feature needs. You can disconnect them at any time.

10. Recording features

Summit lets you record and transcribe audio. Recording laws vary by location: in many U.S. states, it is illegal to record a conversation unless everyone being recorded consents. Many schools also restrict recording. You are solely responsible for knowing and following the recording laws of your state and the policies of your school, for obtaining any consent or permission required before recording, and for how you use recordings. You agree to indemnify RED TENT, S.A. against any claims arising from your use of the recording features. RED TENT, S.A. does not verify whether you have obtained required consent.

11. AI features — accuracy and responsibility

Summit's AI features (extraction, chatbot and tutor, flashcards, quizzes, study guides, podcasts, and transcription) can be incomplete or wrong. They are study aids, not authoritative records and not professional advice. Verify anything that matters against your official sources — your syllabus, your instructor, and your school's systems. You are responsible for using Summit consistent with your school's academic-integrity policies; Summit helps you study and is not a substitute for your own work. Summit is not responsible for academic outcomes arising from reliance on AI output. Deterministic calculations from values you enter are computed by Summit's own code.

12. Institutional note

Summit is currently offered directly to students. If Summit is later provided through your school, additional terms and protections may apply.

13. Account deletion and suspension

You can delete your account in-product; deletion requires re-entering your password (and your two-factor code if enabled) and confirming. Your account is deactivated for a 30-day grace period (restore by logging in), after which your data is permanently and irreversibly deleted from our active systems, except for limited records described in the Privacy Policy (for example, a deletion record and legally required billing records). We may suspend or terminate accounts for violations, for legal reasons, or to protect Summit or its users.

14. Disclaimers

Summit is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that AI outputs are accurate or that Summit is uninterrupted or error-free.

15. Limitation of liability

To the fullest extent permitted by law, RED TENT, S.A. and its officers, directors, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, or academic outcomes. Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or US $50.

16. Intellectual property

Summit — its software, design, and brand — belongs to RED TENT, S.A. and its licensors. These Terms grant you no rights to our trademarks or code beyond using Summit as intended.

17. Changes

We may update these Terms. When we make material changes, we will update the version and effective date and re-prompt you to accept before you continue using Summit.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws rules. Nothing in these Terms removes mandatory consumer-protection rights you have under the laws of your place of residence. Before taking formal action, contact us at hello@learnsummit.app to try to resolve the issue; disputes not resolved informally may be brought before the courts of Ciudad de Panamá, Republic of Panama.
